Broker & Introducer Terms
1. Introduction & Acceptance
1.1 These Broker & Introducer Terms ("Terms") apply to any person or business using BoatMove as a broker, dealer, introducer, or agent, whether arranging a delivery for a customer or moving their own vessel.
1.2 These Terms are accepted by registering a broker account and confirmed by ticking the acceptance box at registration.
1.3 These Terms should be read alongside the Website Terms of Use and the Privacy Policy.
2. Definitions
In these Terms, the following definitions apply:
- Broker: The person or business arranging the delivery on behalf of a Customer, or moving their own vessel.
- Customer: The vessel owner or person for whom the Broker arranges the delivery.
- Approved Partner: An independent transport provider or skipper vetted and approved to quote on the BoatMove marketplace.
- Transport Charges: The Approved Partner's own price, payable by the Customer directly to the Approved Partner.
- Broker Commission: The amount the Broker adds on top of the Transport Charges, collected by the Approved Partner from the Customer and paid by the Approved Partner directly to the Broker.
- Client Total: The sum of the Transport Charges plus the Broker Commission.
- BoatMove Facilitation Fee: The fee payable by the Approved Partner to BoatMove only, for the use of the marketplace.
- Booking Confirmation: The document issued once both the customer side and the Approved Partner have confirmed the booking in the marketplace, containing a unique booking reference.
3. Authority to Act
3.1 The Broker warrants that it has the Customer's authority to submit a request, to disclose the Customer's name, email, and telephone number to BoatMove and to matched Approved Partners, to obtain and compare quotations, to accept or decline a quotation, and to confirm or cancel a booking on the Customer's behalf.
3.2 The Broker must not submit a third party's email address without that person's explicit consent. The Broker confirms that consent by ticking the consent box when creating a request. BoatMove records the date and the user who gave this confirmation.
3.3 Where the Broker is moving its own vessel, it is treated as the Customer for the purpose of these Terms.
3.4 The Broker must inform the Customer that BoatMove and the matched Approved Partners will contact them.
4. Relationship with BoatMove
4.1 The Broker is an independent business and is not BoatMove's agent, employee, representative, or partner.
4.2 The Broker must not hold itself out as BoatMove, provide quotes on BoatMove's behalf, or bind BoatMove to any agreement or obligation.
4.3 BoatMove is a marketplace facilitator, not a carrier or delivery company. BoatMove is not a party to the transport contract, which is solely between the Customer and the Approved Partner.
5. Requests & Quotations
5.1 Broker requests are treated as priority within the marketplace, and Approved Partners are invited to quote with a shortened response deadline.
5.2 Before a request is sent, the Broker is shown a shortlist of matched Approved Partners by company name, category and rating, and chooses which of them to invite to quote (or invites everyone matched). Quotations received are then shown under the Approved Partner's real company name throughout.
5.3 Every quotation provided by an Approved Partner must remain valid for at least 7 days.
5.4 BoatMove does not set, negotiate, or verify prices.
5.5 When a quotation is accepted, all other quotations on that request are automatically withdrawn.
5.6 The Broker is solely responsible for any advice, recommendation, or selection it makes for its Customer, and for checking that a quotation adequately meets the Customer's requirements.
6. Broker Commission
6.1 The Broker may set a commission for a request, or a different commission for an individual quotation, as a percentage of the quotation total or as a fixed amount in a stated currency.
6.2 The Broker Commission may not exceed 20% of the quotation total. The platform will automatically cap the commission at this level.
6.3 The commission is added on top of the Transport Charges and forms part of the Client Total shown in the Broker's client-facing documents. The Approved Partner collects the total from the Customer and pays the Broker Commission directly to the Broker.
6.4 BoatMove does not collect, hold, invoice, guarantee, or underwrite the Broker Commission, and accepts no liability if it is not paid by the Approved Partner. Any dispute regarding the commission is strictly between the Broker and the Approved Partner.
7. Disclosure to the Customer
7.1 The Broker is solely responsible for ensuring its commission arrangement is lawful and properly disclosed to its Customer, and for complying with any contractual, fiduciary, agency, or regulatory duty it owes them.
7.2 The platform's "show separately" option controls only whether the commission is itemised on the Broker's client-facing quotation documents. It does NOT relieve the Broker of any disclosure duty owed to the Customer.
7.3 The Broker must, at a minimum, disclose to the Customer that its remuneration is included in the price quoted, and must explicitly tell the Customer the amount if asked.
7.4 The Broker must not state or imply that the price contains no broker fee or mark-up. The Broker must not describe its commission as a "BoatMove charge" and must not tell a Customer that any amount is payable to BoatMove.
7.5 The Broker indemnifies BoatMove against all claims, losses, and costs arising from a failure to disclose its commission or from any misstatement about price composition.
8. Payment of Commission
8.1 The commission becomes payable upon Booking Confirmation. BoatMove records it as due from the Approved Partner with a 7-day due date.
8.2 The platform's recording of the commission is a record-keeping convenience only.
8.3 The Broker is responsible for marking the commission as received, keeping its records accurate, and pursuing the Approved Partner directly if the commission is not paid.
8.4 The Broker must not withhold cooperation or obstruct the progress of a booking because commission is outstanding.
9. Cancellation
9.1 Where a confirmed booking is cancelled before the delivery starts, the Broker Commission ceases to be payable, except to the extent that the Approved Partner keeps sums already received from the Customer for work performed. In such cases, commission remains payable on those retained sums on a pro rata basis.
9.2 The Broker must agree any adjustment directly with the Approved Partner. BoatMove may cancel or amend the commission record on the platform accordingly.
9.3 Any cancellation charges the Customer owes are a matter between the Customer and the Approved Partner.
10. No Fees Payable to BoatMove
10.1 Neither the Broker nor the Customer pays BoatMove anything.
10.2 BoatMove is paid a facilitation fee by the Approved Partner, which is already included in the Approved Partner's quoted price (the Transport Charges).
10.3 The Broker must not add, describe, or invoice any charge to the Customer as a BoatMove fee.
11. Marketplace Integrity
11.1 The Broker must keep introductions and initial communications on the platform.
11.2 The Broker must not encourage or assist an Approved Partner to complete a BoatMove-originated booking off-platform in order to avoid the facilitation fee. The Broker must not solicit partners to circumvent the marketplace or encourage a Customer to cancel a booking in order to contract privately.
11.3 Messages sent through the platform are automatically screened. Contact details are hidden unless the sender formally declares an off-platform conversation. Such declarations are logged and routinely reviewed by BoatMove.
12. Customer and Partner Data
12.1 The Broker and BoatMove are each independent controllers of personal data.
12.2 The Broker warrants that it has a lawful basis to share its Customer's personal data with BoatMove and Approved Partners.
12.3 Partner contact details released at Booking Confirmation may be used solely for the purpose of fulfilling that specific booking. They must not be added to marketing lists, resold, or used to build a competing service.
12.4 The Broker agrees to maintain the strict confidentiality of pricing and partner information obtained through the marketplace.
13. Reviews & Feedback
13.1 Completed bookings may be reviewed. Reviews are submitted through the platform and are published only after BoatMove moderation.
13.2 Reviews are two-way: a Broker or its Customer may be reviewed by the Approved Partner, including feedback on payment promptness.
13.3 Reviews must be honest, objective, and must not be manipulated or incentivised in any way.
14. Suspension & Removal
14.1 BoatMove may warn, suspend, or remove a Broker's access to the platform. This may occur immediately in the case of a material breach (in particular, non-disclosure of commission, circumvention, misrepresenting BoatMove's fee model, or misuse of customer or partner data), and otherwise upon reasonable notice.
14.2 The Broker may stop using the marketplace at any time. BoatMove may withdraw access entirely on 30 days' written notice.
14.3 Obligations already accrued prior to termination or suspension, including those relating to confirmed bookings and commissions, shall survive.
15. Liability
15.1 BoatMove gives no warranty as to the performance, punctuality, or solvency of any Approved Partner or Customer.
15.2 BoatMove is not a party to the transport contract or to the commission arrangement, and strictly excludes liability for loss of profit, loss of commission, loss of business, or any indirect or consequential loss.
15.3 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded (such as death or personal injury caused by negligence, or fraud).
16. General
16.1 BoatMove may vary these Terms by providing notice. Continued use of the platform after such notice constitutes acceptance of the varied Terms.
16.2 These Terms constitute the entire agreement between the Broker and BoatMove regarding the use of the marketplace. No waiver of any term shall be deemed a continuing waiver.
16.3 If any provision is found to be unenforceable, it shall be severed, and the remaining terms shall continue in full force.
16.4 These Terms do not grant any third-party rights.
16.5 These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
17. Acceptance
By registering as a Broker and ticking the acceptance box, the Broker confirms it has read, understood, and accepts these Terms (Version 1.1 – Founding Edition, Effective 3 September 2026).
